GPG constitution

1 Name: The name of the group shall be Gwyrddio Penarth Greening (GPG)

2 Aims & Objectives:

To explore and implement practical actions that will reduce our carbon emissions and dependence on fossil fuels, whilst encouraging and supporting sustainable development.
To build the town’s resilience, and its ability to withstand shocks from the outside, through being more self-reliant in areas such as food, energy, health care and the local economy.
To strengthen the social fabric of the town as a community by fostering an ethos of socially, environmentally and economically sustainable action.
To value and maximise existing knowledge, skills and resources, promote education and support lifelong learning opportunities.
3 The group will fulfil its aims and objectives by:

  • Monitoring and evaluating any projects undertaken by GPG.
  • Ensuring that in all aspects of its activities GPG will strive to involve all members of the community (see Equal Opportunities Policy)

4 Powers: In order to achieve its aims and objectives, the Committee has the power to:

a)Raise funds and receive contributions where appropriate to finance the work
b)Publicise and promote the work as set out in the aims and objectives
c)Open bank accounts
d)Take out insurance
e)Organise meetings, training courses and events
f)Work with similar groups and exchange information and advice with them
g)Put in place such policies and procedures as are required by current legislation
h)Do anything else that is within the law to fulfil its aim and objectives

5 Membership:

a) Membership of GPG shall be open to anyone who is interested in helping the group to achieve its aims and willing to abide by the rules of the group.
b)Every member shall have one vote at general meetings.
c)The Management Committee shall have the power to refuse membership to an applicant, where it is considered such membership would be detrimental to the aims, purposes or activities of the group.
d)Any member of the group may resign his/her membership and any representative of a member organisation or section may resign such position, by giving written notice of his/her intention to resign to the Management Committee
e)The Management Committee may expel someone from membership, provided it is in the best interests of the group to do so, and the person is given the right to be heard by the committee before any decision is made. The member may be accompanied by a friend.

6 Annual General Meeting – AGM:

a) GPG shall hold an Annual General Meeting at not more than 15 month intervals.
b) All members must be given 14 days notice of the AGM which must be advertised publicly.
c) Members must receive an agenda prior to the meeting.
d) The business of the meeting shall include:

  • A report from the Chairperson of the group’s activities over the previous year.
  • A report and presentation on the last financial year’s accounts from the Treasurer.
  • Other matters considered suitable at such a meeting.
  • The election of a new Management Committee.

f) Members shall elect between 3 and 8 members to the Committee. They shall retire at the next AGM and may stand for re-election.

g) The quorum for the AGM shall be at least eight (8) people of whom no more than four (4) shall be committee members.

7 Management Committee:

a) GPG shall be administered by a Management Committee of not less than three (3) people and not more than ten (10) members elected at the Group’s AGM. Committee members must be at least 16 years old. Only members aged 18 or over shall be entitled to vote.
b) The officers of the Management Committee shall be:

  • The Chairperson
  • The Treasurer
  • The Secretary
  • And such other officers as deemed necessary by the group at the AGM

c) The Management Committee shall meet at least twice a year
d) At least three (3) Committee members must be at a committee meeting to be able to take decisions. Minutes shall be kept for every meeting and made available to any interested party.
e) During the year, the Committee may appoint up to 2 extra members on to the Committee who will stand down at the next AGM, but are eligible for re-election.
f) The Committee shall have the power to set up sub-groups and working parties which shall be accountable to the Committee.
g) The Committee may make reasonable additional rules for the proper conduct and management of the group. These rules must not conflict with the constitution or the law.
h) All committee members shall be given at least seven (7) days’ notice of a meeting unless it is deemed an emergency meeting.

8 General Members’ Meetings:

a) All members of GPG must be invited to General Meetings
b) The chair of the Management Committee shall normally chair these meetings
c) At least fourteen (14) days’ notice of such a meeting must be given and advertised publicly.
d) All General meetings must be minuted.
e) The quorum for a General Meeting is five (5)

9 Finance:
a) Funds must be held in the group’s bank accounts. Any bank account opened for the group shall be in the name of the group.
b) All cheques must be signed by two (2) committee members
c) Any funds and property gained by the group must only be used for the purposes of the group.
d) Funds cannot be used to pay committee members except to refund legitimate expenses.
e) The Management Committee will ensure that the group stays within the budget.

10 Special General Meetings:
Special General Meetings may be called by the Committee for the following reasons: All members must be given 14 days notice and told what change is proposed.
1) Changing the Constitution – The constitution may be changed by a two thirds majority of members present and voting at a Special General Meeting
2) Emergency Special General Meeting – to allow the members to decide on important issues.
3) Winding up – the group may be wound up by a two thirds majority of Members present and voting at a Special General Meeting. Any money or property remaining after payment of debts must be returned to providers, if they require it, or given to a group with similar (charitable) purposes.
4) Other reasons – For any other reasons as determined by the Management Committee.

11 Setting up the Group:
This Constitution was adopted on 20th April, 2009.
